Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of AdAutomaton (the “Service”), an AI content-automation platform operated by YBC, s.r.o. (“YBC,” “we,” “us,” or “our”). Please read them carefully — by using the Service you agree to them.

1.Acceptance of these Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a company or other organisation (a “Workspace”), you represent that you are authorised to bind that organisation, and “you” refers to that organisation. If you do not agree, do not use the Service.

2.Definitions

• Service — the AdAutomaton web application, APIs, and related tools that discover topics and generate, schedule, and publish short-form video and social content.
• Workspace (or Organisation) — a team account under which Users collaborate, with role-based access (Admin, Editor, Viewer).
• User — any individual who accesses the Service under a Workspace.
• Input Content — material you provide: product information, documents, images, brand details, topics, URLs, prompts, and configuration.
• Generated Content — scripts, videos, voiceovers, captions, posts, and other output the Service produces from your Input Content.
• Connected Account — a third-party platform account (e.g. TikTok, Instagram, YouTube, X) you link to the Service to publish or measure content.

3.Eligibility, accounts & beta access

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business and professional use, not for consumers acting outside their trade or profession.

The Service is currently offered on an invite-only beta basis. Access may be limited, granted by invitation, and withdrawn at our discretion. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account or Workspace. Notify us promptly of any unauthorised use.

4.The Service

AdAutomaton helps you turn topics into ready-to-publish short-form content. Depending on your configuration, the Service can operate with a human-approval step or fully autonomously — discovering topics, generating content, and publishing it to your Connected Accounts on a schedule, without manual review of each item.

You are responsible for what you publish. If you enable autonomous (auto-publish) operation, you accept that content may be published without your prior review, and you remain solely responsible for it. We strongly recommend reviewing your brand configuration, generation settings, and at least an initial sample of output before enabling unattended publishing.

5.Acceptable use

You agree not to use the Service to create, schedule, or publish content, or to act, in any way that:

• violates any applicable law or regulation, or any third party’s rights (including intellectual property, privacy, publicity, or data-protection rights);
• is unlawful, defamatory, deceptive, fraudulent, infringing, obscene, hateful, harassing, or that promotes violence or discrimination;
• impersonates any person or entity, or misrepresents your affiliation, including misleading or deceptive advertising or undisclosed paid promotion where disclosure is required;
• constitutes spam, or violates the terms, policies, or rate limits of any Connected Account or platform;
• infringes or misappropriates a third party’s content, trademarks, likeness, or voice;
• uploads malware, attempts to gain unauthorised access, probes or disrupts the Service, or circumvents usage limits, security, or access controls;
• reverse-engineers, scrapes, or resells the Service, or uses it to build a competing product; or
• uses the Service’s AI capabilities to generate content prohibited by the policies of the underlying AI providers we rely on.

We may investigate, remove content, suspend, or terminate access for suspected violations, and may be required to report unlawful activity to the authorities.

6.Your content & AI-generated output

Your Input Content. You retain all rights in your Input Content. You grant YBC a worldwide, non-exclusive, royalty-free licence to host, process, reproduce, and transmit it, and to share it with our sub-processors (including AI providers), solely to operate and improve the Service and to produce Generated Content for you. You represent that you have all rights necessary to provide your Input Content and to authorise this use.

Generated Content. As between you and YBC, and to the extent we can grant such rights, we assign to you our rights in the Generated Content created for your Workspace, so that you may use it for your business. This is subject to your compliance with these Terms and with the terms of the underlying AI providers.

7.Connected third-party platforms

The Service lets you connect third-party platforms (e.g. TikTok, Instagram/Meta, YouTube/Google, X) via their authorisation (OAuth) so the Service can publish content and read performance metrics on your behalf. Your use of each platform is governed by that platform’s own terms and policies, which you must comply with. We are not responsible for third-party platforms, their availability, their decisions (including content removal, throttling, or account suspension), or changes to their APIs. You can disconnect a platform at any time in your account settings.

8.Fees, credits, billing & taxes

The Service is billed on a usage basis. You purchase prepaid credit or are billed for the resources you actually consume (such as AI generation, video rendering, and publishing). Pricing, included allowances, and the cost of each operation are shown in the application before and/or after consumption. Payments are processed by our payment provider (GoPay); we do not store full card details.

• Prices are stated exclusive of VAT unless indicated otherwise. Czech value-added tax (currently 21%) or other applicable taxes are added where required, and a tax document (faktura) is issued for each payment.
• Prepaid credit is consumed as you use the Service and, except where required by mandatory law, amounts already consumed are non-refundable.
• During beta, pricing and allowances may change; we will give reasonable notice of material changes that affect future purchases.
• You are responsible for any taxes that apply to you and for keeping your billing details accurate.

9.Intellectual property

The Service, including its software, models, design, branding, and the AdAutomaton name and logo, is owned by YBC or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights. You may not use our trademarks without our prior written permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.

10.Confidentiality (beta)

The Service is in beta and may include non-public features, pricing, and performance information. You agree to treat such non-public information as confidential and not to disclose it to third parties without our consent, except as required by law.

11.Availability & changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue all or part of the Service, including any feature, at any time. Because the Service depends on third-party AI and platform providers, their outages, changes, or restrictions may affect the Service.

12.Term & termination

These Terms apply while you use the Service. You may stop using it and close your account at any time. We may suspend or terminate your access (a) for breach of these Terms, (b) to protect the Service, other users, or third parties, (c) if required by law, or (d) for convenience with reasonable notice. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 6, 9, 13–16, and 18) survive. We may delete your data after termination as described in the Privacy Policy; please export anything you wish to keep beforehand.

13.Disclaimers

To the maximum extent permitted by law, the Service and all Generated Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, secure, or error-free. Nothing in these Terms excludes liability that cannot be excluded under mandatory law.

14.Limitation of liability

To the maximum extent permitted by law, YBC and its representatives will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Service or any Generated Content, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid us for the Service in that period, or (b) [cap amount — e.g. CZK 2,500 / EUR 100]. These limits do not apply to liability that cannot be limited under mandatory law (such as for death or personal injury caused by negligence, or for intentional or grossly negligent conduct).

15.Indemnification

You agree to indemnify and hold harmless YBC and its representatives from any third-party claims, damages, and reasonable costs (including legal fees) arising from your Input Content, your Generated Content and its publication, your use of Connected Accounts, or your breach of these Terms or applicable law.

16.Governing law & disputes

These Terms are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of the Czech Republic [competent court per YBC’s seat] have exclusive jurisdiction, subject to any mandatory consumer-protection rules that grant you the right to bring proceedings in your place of residence. Where you are a consumer in the EU, you may also use the European Commission’s online dispute-resolution platform at ec.europa.eu/consumers/odr.

17.Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example by email or in-app) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

18.General

These Terms, together with the Privacy Policy and any order or plan details, are the entire agreement between you and YBC regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to you may be given by email or in-app.
